Terms of Service
Effective date: April 10, 2026
1. Acceptance of Terms
By accessing or using Nextbatch ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.
2. Description of Service
Nextbatch is a technology platform that enables cottage food bakers ("Bakers") to create online storefronts and manage time-limited product offerings ("Batches"). Customers ("Customers") may browse these storefronts and submit orders.
Nextbatch is not a party to any transaction between Bakers and Customers. Nextbatch does not manufacture, sell, or distribute food products, and does not act as an agent or representative of any Baker or Customer. All sales are between the Baker and the Customer directly.
3. User Eligibility
You must be at least 18 years old to create a Baker account. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into a binding agreement. Customers placing orders represent that they are of legal age in their jurisdiction.
4. Baker Responsibilities
As a Baker using Nextbatch, you agree to:
- Comply with all applicable federal, state, and local laws governing the sale of food, including cottage food laws in your jurisdiction. Nextbatch does not verify your compliance with these laws.
- Accurately represent your products, including ingredients, pricing, and availability.
- Fulfill all orders you accept in a timely and professional manner.
- Collect and remit all applicable sales taxes on your transactions.
- Maintain appropriate food safety and handling practices.
Allergen Disclosure. You are solely responsible for accurately disclosing all allergens present in your products, including the nine major food allergens recognized by the FDA: milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soybeans, and sesame. Nextbatch does not verify allergen information. Customers with food allergies or dietary restrictions must contact you directly before placing an order. You agree to indemnify, defend, and hold harmless Nextbatch from any claims, damages, or liability arising from allergen-related incidents involving your products.
5. Customer Responsibilities
As a Customer, you agree to:
- Provide accurate contact information when placing an order.
- Understand that you are entering into a transaction directly with the Baker, not with Nextbatch.
- Contact the Baker directly with any questions about ingredients, allergens, or dietary restrictions before placing an order.
- Resolve any disputes regarding your order directly with the Baker.
6. Payments and Billing
Baker Subscription Fees. Access to certain Nextbatch platform features may be subject to subscription fees as described on our pricing page. Nextbatch will provide at least 30 days' advance notice before any price changes take effect. Fees are non-refundable except as required by applicable law. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
Stripe Connect for Online Payments. Bakers may connect a Stripe account to collect online payments directly from Customers. By enabling Stripe Connect, you agree to Stripe's Connected Account Agreement. Nextbatch passes through Stripe's payment processing fees without markup; Nextbatch does not charge any additional platform fee on customer transactions. Nextbatch is not the merchant of record for Stripe Connect transactions and is not responsible for payment failures, chargebacks, refunds, or payment disputes arising from those transactions.
Venmo and External Payment Methods. Nextbatch is not responsible for payments made through Venmo or any other external payment service. All such transactions and any related disputes must be resolved directly between Baker and Customer.
7. Intellectual Property
Bakers retain ownership of all content they upload to Nextbatch, including product photographs, descriptions, and store information ("Baker Content"). By uploading Baker Content, you grant Nextbatch a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute your Baker Content solely as necessary to operate the Service. Nextbatch's software, design, trademarks, and other intellectual property remain the exclusive property of Nextbatch.
8. Prohibited Conduct
You may not use Nextbatch to:
- Sell any product that is illegal or that violates applicable cottage food laws.
- Misrepresent your identity, products, certifications, or legal qualifications.
- Collect or store payment card information outside of an approved payment processor.
- Harass, threaten, or defraud other users.
- Upload malicious code or attempt to compromise the security or integrity of the Service.
- Violate any applicable law or regulation.
9. Limitation of Liability
To the maximum extent permitted by applicable law, Nextbatch and its operators, employees, and agents shall not be liable for: (a) any indirect, incidental, special, consequential, or punitive damages; (b) any loss of profits, revenue, data, or goodwill; (c) any damages arising from baker–customer transaction disputes, food safety incidents, allergen reactions, failed or missed pickups, or payment disputes; or (d) any damages arising from your use of or inability to use the Service.
In no event shall Nextbatch's total liability to you exceed the greater of (i) the total fees you have paid to Nextbatch in the twelve months preceding the claim, or (ii) one hundred dollars ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the above limitations apply to the fullest extent permitted by law.
10. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Nextbatch does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Indemnification
You agree to indemnify, defend, and hold harmless Nextbatch and its operators, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and attorneys' fees arising out of or relating to: (a) your use of the Service; (b) your Baker Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) any transaction between you and another user.
12. Termination
Nextbatch reserves the right to suspend or terminate your account at any time for violation of these Terms, or for any other reason at Nextbatch's sole discretion, with or without notice. Upon termination, your right to use the Service ceases immediately.
13. Changes to These Terms
Nextbatch may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of New Hampshire, USA, without regard to its conflict of law principles. For users in the European Union, nothing in these Terms limits any mandatory consumer protection rights you may have under applicable EU law.
15. Dispute Resolution
Before initiating any formal dispute, you agree to first contact us at legal@nextbatch.xyz to attempt informal resolution. If we cannot resolve the dispute within 30 days, any remaining dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
